Why you should not open companies in Serbia. How to open an account in Serbia for a foreigner or a company. The most promising types of business

Economy of Serbia

On the this moment Serbian economy is underdeveloped, which was caused by the events of the 90s of the last century. Despite this, fairly rapid economic growth began in the early 2000s. Serbia's economy is considered the strongest and fastest growing in the region. The geographical position and close ties with both Europe and Russia guarantee further economic development.

AT last years large foreign companies began to invest in the Serbian economy, open their representative offices in Serbia. Ability to lead modern business based on the principles free market, makes the Serbian economy attractive for investors. The fact that a fairly large percentage of the economically active population of Serbia either works in the EU countries (mainly Germany, Austria, Italy) or trades with them leads to an even closer integration of Serbia into the European economy. The signed free trade agreement with the European Union favors the development of imports and exports, which means it gives good prospects for economic growth.

Today, the European Union is the main trade partner of Serbia, the share of goods exported to Europe is 54.2% of Serbian exports. The main export commodities are oil and gas, electrical engineering, cereals and vegetables.

The recently signed duty-free trade agreement between Serbia and the Russian Federation has strengthened mutually beneficial trade ties. At the moment, perhaps, every Russian has met with Serbian goods, in particular with food, and was able to appreciate their quality. The prospects for increasing the import of Serbian goods to Russia are really great, since almost every manufacturer in Serbia is ready to increase production volume and improve quality in order to be able to get into Russian market. Also, do not underestimate the possibility of importing Russian goods, since Serbia, thanks to its favorable geographical position and good trade relations with Europe, can become an excellent springboard for the sale of Russian goods to Europe.

The construction of the South Stream has made Serbia a strategically important point for OAO Gazprom. The Russian giant recently acquired NIS (Oil Industry of Serbia) and continues to expand its influence in the region, the largest gas storage facility in Eastern Europe is being built in the Banat region of Serbia. The company's activities in Serbia are rapidly expanding, creating new jobs.

Of the economic problems of Serbia, it is necessary to note the serious level of unemployment and the budget deficit. The government has high hopes for loans from Russia and assistance from the European Union, which is ready to further increase injections into the Serbian economy.

The national currency is the Serbian dinar. The exchange rate of the dinar against the euro is approximately 110:1.

Business in Serbia

Favorable conditions for doing business have been created in Serbia, and the state as a whole does not create obstacles for the development of small and medium-sized businesses. Entrepreneurship in Serbia is based on free market principles.

Opening a business in Serbia is not at all difficult. A foreigner can establish a company of any legal form independently or jointly with citizens of Serbia. The process of opening a company takes several days, and if there are properly executed documents, it does not require much participation on the part of the entrepreneur himself.

The following legal forms of business exist in Serbia:

Individual entrepreneur (preduzetnik). This is the simplest form of business, similar to IP in Russia. The founder of the firm is responsible for the business with his own property. The minimum taxes for maintaining this form of business will be 70-80 euros per month. limited liability(D.O.O.) is organized in such a way that the owner is not liable with his property for the activities of the company. Responsibility is guaranteed by the authorized capital of the company. An LLC can be founded by one person or a group of people. To create an LLC by one founder, the charter of the company is sufficient, and for a company with two or more founders, an agreement and an act of founding are required. Maintaining an LLC will cost you at least 150-200 euros per month. Also, existing in Russian Federation Ltd., can open its representative office in Serbia. A joint-stock company (A.D.) is opened for more serious business tasks. It can be open or closed. In general, the basics of work joint-stock companies in Serbia are similar to Russian principles.

To open a company, you must have founding documents, lease agreement or office ownership and passport.

The first step is to open a bank account, then all documents are submitted to APR (Agencija za Priivredne Registre). The specialist will check them and take them to work. Within 7 days the company will be open. You will be issued a paper confirming the registration of the company, as well as a PIB (personal tax number). After that, you must register for tax service, pension fund and the social security service.

Each foreign entrepreneur, in addition to taxes, is obliged to pay contributions to the pension and health insurance fund. At the time of registration, the company is set a minimum imputed tax, and after, based on the results of activities, the tax rate is adjusted. Upon reaching a certain level of income, the company is transferred to the value added tax (PDV) system.

Buying a property

In recent years, the Balkans have been increasingly attracting foreigners, and especially our compatriots. More and more Russians are buying property in Croatia and Montenegro. At the same time, people understand that it is important not only to live in a good climate, but also to earn money somehow. This is where attention is drawn to Serbia as the economic center of the region, and especially to the capital - Belgrade - perhaps the only place in the region where you can build a serious business.

At the moment, the Serbian real estate market is more attractive than ever. Due to the financial crisis, prices have fallen, perhaps to the lowest possible level. And in the future, in 2-3 years, they will have nothing left but to start growing. And after Serbia joins the European Union, prices will certainly rise by at least 50%.

The price of real estate in good areas of Belgrade ranges from 2 to 3 thousand euros per square meter. Of course, in the most prestigious areas of the city you can find much higher prices, but this is a separate issue. On the outskirts of Belgrade, you can buy housing for 800-1000 euros per square. In other cities of Serbia, the average price is 500 euros per square meter.

Recently, buying houses in Serbian villages has become very popular among Russians. People who are tired of big cities and traffic jams choose a quiet life in the fresh mountain air among the beautiful Serbian landscapes. In Central Serbia, you can buy a house with a plot of land for an average of 10 thousand euros. Again, the price depends on the distance from the capital.

For many people, building a house according to their own design seems to be a very tempting prospect. Your own home is, of course, very good, but here you need to be careful. It is necessary to prepare an architectural plan, obtain a building permit, and then a cadastral number for the built house. A person who does not have the necessary knowledge and connections will most likely spend more than one year legalizing the building. But a foreigner first of all needs to be registered.

Arriving at a new place, it is best to buy a finished house or apartment, and only then think about building it. We must not forget that each country has its own characteristics, including in construction, which may not be obvious to foreigners. Therefore, you should first "look around", and only then make decisions.

Basically, all residential buildings in Serbia are built by private investors: the developer buys a piece of land, obtains all necessary permits and builds a house. The problem is that until recently, until about the early 2000s, most of the buildings in Serbia were built semi-legally. It is not difficult to find a residential building that was built 20 years ago, but still does not have a cadastral number; the owner of such a house has been trying all these years to legalize it, but nothing comes of it, because there were discrepancies with the approved construction plan, or this plan did not exist at all. If you buy an apartment in such a house, of course, no one will evict you from it, but, nevertheless, the real price of such an apartment is lower than that of a completely legal one.
Some features of the construction and sale of real estate in Serbia do not seem obvious to Russians. For example, the fact that an apartment has an electricity meter and bills come in does not at all guarantee that the apartment is legal and has a cadastral number. In order not to get into an unpleasant situation, it is best to contact specialists who will help you prepare documents for the purchase of real estate and protect you from fraudsters; to suggest how different methods of heating apartments differ, and so on.

Entrepreneurship

To register a company, it is very important to properly prepare the constituent documents, understand all the intricacies of the legal forms of business, and correctly determine the scope of activities. You will definitely need a good accountant who will manage your affairs and submit tax returns.

Serbia is a republic in southeastern Europe, roughly in the center of the Balkan Peninsula. Serbia has been a member of the UN since 2000 and a candidate for the EU since 2012. Serbia does not have and is not expected to be a member of the OECD, so the level of confidentiality is respected. Serbia is not considered an offshore zone either, although opening a business in Serbia is perhaps one of the best decisions.

According to IQ Decision lawyers, the most popular for non-residents is the opportunity to register a company in Serbia as an LLC. This type of company in Serbia is called DOO - the founders risk only their share in the authorized capital, the minimum amount of which is 1 euro. Documentation for both legal entities and individuals contains standard requirements for foreigners, and there are a majority of such firms in this territory.

The second most popular type of company is JSC, which in Serbia can be founded by one or a group of legal entities or individuals. Money is contributed to the authorized share capital or material values. The Serbian AO is fully responsible for its debts and obligations.

It is believed that the easiest and fastest way to open a company in Serbia is in the form of a DOO. IQ Decision specialists want to warn you what to buy ready-made company possible in Serbia. Registration activities also include notarial services of a local notary.

Opening a company in Serbia is impossible without regular reporting. And if a non-resident receives income in the country, he is a taxpayer with all the consequences. By the way, the corporate tax rate is only 15%. VAT, on dividends, on royalties - 20%. If the Double Tax Treaty is applied, the rate, for example, of tax on dividends, will be significantly reduced.

The company must have a director (can be a non-resident) and a secretary (can be a legal entity). The minimum is also 1 shareholder.

Data about the company will be entered into the register (a week), and the registration itself may take up to a month. Registration of a company in Serbia is possible at any address.

For the operation of your company, you will need to open a bank account in Serbia. By the way, it is quite possible to open an account in Serbia remotely.

If you decide to register a turnkey company in Serbia, first decide how you are going to do it. Of course, you can come to the country on your own, go through about 14 procedures personally in a couple of months, and, perhaps, you will be able to open an offshore company in Serbia.

As for saving your money in this case, it will not be very significant, and the energy spent, coupled with time, can make you regret that you did not turn to IQ Decision for help in time.

Changing the place of residence, fixing on the territory of another country is the dream of many Russian citizens. Usually the preferences of Russian immigrants are aimed at choosing a country that is related in mentality and language, Serbia is one of such countries.

How popular is it in recent years to live and work in Serbia

Immigration to the Balkans from Russia is by no means a popular destination. As a European country, Serbia is inferior to the same Czech Republic, Germany or Sweden in terms of quality of life. But immigrants from Russia are attracted by other factors. First of all, the Balkans are interesting for Russians:

  1. Favorable natural climate.
  2. Good attitude of the population.
  3. Inexpensive housing, household goods, products.
  4. The atmosphere of European culture.
  5. Visa-free regime with Russia (up to 30 days from 2016) and Ukraine (up to 90 days from July 2018).
  6. Easy acquisition of residence permit status.
  7. The possibility of obtaining permanent residence.

Who and why immigrate to Serbia

The reasons contributing to the departure of Russians to the Balkans, judging by the same feedback from migrants, are of a different nature. Thus, middle-aged people usually seek favorable conditions in Serbia for raising their children. Elderly people hope to secure a peaceful and dignified old age. Entrepreneurs are attracted by business conditions that are softer than at home.

Indeed, entrepreneurship here develops in an atmosphere of lack of pressure and corruption. None of the businessmen remembers the existence of the concepts of "roof" or "power" of officials. It is possible to put the business "on its feet" with minimal financial costs. But there are other problems.

…I live in Montenegro and often come across Serbs. It seems that young people do not even think about entrepreneurship. Full of work. Take, do, earn. Yes, the work is low-paid, but where is the high-paying one immediately given? In a few years (3-5) there are prospects for good business. But they answer me - we don’t want to wait so long. We want here and now. Let's sell a couple of real estate objects and you can live happily ever after. Why work? But in Serbia and Montenegro, the potential for starting a business is huge...

Among Russian immigrants there is another category of people. These are citizens “without age”, who are sick of the so-called Soviet image of the motherland. For them, immigration is a chance for a new life. Usually Serbia is considered by them as a temporary place of residence before settling in the EU or Canada. As a result, most of them remain.

Number of migrants and places of their compact residence

In terms of the number of migrants who arrived for permanent residence, Serbia is characterized by low figures. Every year the total number of migrants, including those from Russia, does not exceed 4,000 people. The centers of compact residence of Russian migrants are Belgrade and nearby settlements. Almost half of all immigrants from Russia are in this territory.

The "Balkan" migration route passes through Serbia. Over the past three years, about 900 thousand people have walked along it. Most of them do not want to settle in Serbia and seek to join the EU.

Another area of compact residence, where a significant percentage of the rest of the Russian migrants is distributed, is the Yuzhno-Bachsky district. On the territory of the district there is the city of Novi Sad - this is the second settlement after Belgrade in terms of the number of migrants from Russia. Next, in a descending list, line up:

  • South Banat District;
  • Sremsky district;
  • Mochvansky district;
  • Sredne-Banatsky district;
  • Severo-Bachsky district;
  • other administrative areas.

In addition to Russians, Ukrainians go to the Balkans for permanent residence. However, there are fewer migrants from Ukraine. The interests of immigrants from other CIS countries to Serbia are not at all high.

If the EU decides to settle migrants between member states on a quota basis, Serbia, of course, is ready to participate in this process. We are not just talking about such a possibility - for us it is already a reality. There are about 4,000 refugees on our territory, and we provide them with all possible assistance.

Life in Serbia through the eyes of Russians: reviews

Naturally, in Serbia, many everyday moments are different from the usual life in Russia.

Housing and other household nuances

The comfort of life is achieved through low prices for goods, agricultural products and services. Prices are available for real estate. For example, a two-room apartment can be rented by paying an average of 100–150 euros per month of rent.. This is evidenced by the reviews of immigrants who received a residence permit.

Migrants are also encouraged by the wide choice of accommodation - for different tastes. There are no restrictions on location either. You can easily rent or buy an apartment in the center of Belgrade, Novi Sad, in the territories of small settlements. However, against the backdrop of such profitable deals, the issue of employment is very problematic. It is extremely difficult to find a job in Serbia. Therefore, some migrants do not hold back their emotions:

... It is better not to see Serbia in a nightmare. Getting a residence permit makes sense for those who already own a stable business. Buying property in Serbia is complete nonsense. You run the risk of burying the invested finances without a return. The prospects for economic growth, the development of the real estate market - all this is in dreams for at least 20 years ahead. The country exists due to barter ...

Just do not forget that in 2014 there was a big flood in Serbia, a lot of towns near Belgrade were flooded, you probably would not want to buy a former flooded housing now. That's for example why I refused to buy an apartment in Obrenovac. You need to look at the flood map in 2014 in Serbia and already choose from this town near Belgrade.

In Belgrade, I consider unreasonably expensive housing, old buildings in which a square is 1000 euros, if we talk about new Belgrade, in new buildings there are generally 2-3 thousand euros per square, I filter the suburbs, it turns out that you can’t find below 700 euros per square in an hour’s drive from Belgrade . Novi Sad, an hour and a half drive from Belgrade, is also expensive housing, 1000 euros per square meter, but then the Russians raised the prices, it also affects that the main offices of Gazprom and Lukoil are here. True, it is interesting that 20 minutes from Novi Sad and the cost of a square drops to 400-500 euros per square. By the way, the Serbs are very good builders and now they are making new buildings very high quality, in new buildings almost everywhere there are European-quality repairs, also all apartments are set, as they say, come in and live. I really liked their new buildings, we simply do not have such buildings in Kazakhstan, they are very interesting projects and look very nice. Spacious apartments with a very good layout. For example, in Yagodina, I just walked every morning and specially went to look at these buildings and looked at them for a long time evaluating, I really liked it, just as they say, I can’t take my eyes off.

Education and medicine

Those who have moved to the Balkans argue that social benefits, in particular education and medicine, are at a disadvantage. high level. A noteworthy fact: in Serbia it is impossible to get a certificate or diploma without real study, resorting to the well-established Russian practice of bribes. The same applies to the medical field. Quality medical services is approaching the European level, while the citizens of the country do not feel the high cost of medicine due to free medical insurance.

Pension

The factor of high-quality and affordable medical care is one of the reasons for people of retirement age to move to permanent residence. The old people have enough pensions of the average level (Russian) for a comfortable life in Serbia. Some live by renting out their homes in their home country. As emigrants-old-timers see it, the Serbian atmosphere of life - measured and unhurried - has a beneficial effect on mood and health.

... We have a lot of pensioners in Serbia. They found a place where they will meet old age with dignity. Russia, a raw material appendage of Europe, has completed the working age. In addition to pensions, she has nothing to give pensioners. We have students in Serbia who wish to have an education that is listed on the world labor market. These are not Russian "crusts" that no one needs. We have whole families in Serbia. They are trying to settle down, to naturalize. They hope to provide their children with a decent European future...

Old-age pension without 15 years of service is not paid here (maybe there are some interstate agreements, but I doubt it).

How Serbs treat Russians

The main advantage for Russian immigrants in Serbia is the lack of a sense of life in a foreign land. The vast majority of people who came from Russia confidently declare true friendly fraternal feelings towards them on the part of the Serbs. True, there are also not very flattering reviews, which is natural against the background of the diversity of human characters. Here is one of the comments read on the thematic resource:

... I want to say - when we went to Serbia, we thought everything was easy. Only we were wrong. Lots of dishonest people. The Russians are cashing in on the Russians. The Serbs themselves do not want to work, but they want to receive free money. My husband and I have a modest business and rely only on ourselves. It is very difficult for us, but we do not want to return. In Moscow, everyone after 40 sees no prospects. And in Serbia, at least it's cheap to live. Come. See how Serbia lives...

Indeed, look at how the local population treats visitors. Go on holiday to the Balkans to see the realities of local life with your own eyes. This will be the best analysis of the atmosphere where you have to live for at least three years before obtaining citizenship.

Russian diaspora in Serbia, what is the "Russian House"

The Russian diaspora in Serbia began to form in the first decades of the 19th century. The first immigrant creators of the Russian diaspora were the officers of the "white" army, who by chance ended up in the Balkans after the 1917 revolution. Then the number of Russians in Serbia approached 100 thousand people.

In 1933, a significant event took place - the "Russian House" appeared in Belgrade. Immigrants created this kind of symbol of the motherland in order to preserve the spirituality and moral foundations of Russians who found themselves in exile. Immediately after the opening of the "Russian House" was visited by up to 2 thousand people daily. Today there are no more than 4-5 visitors per day.

The modern "Russian House" plays a somewhat different role. This is a center of culture and science, where a diverse infrastructure is organized. The main idea put into the project with the start of construction is the connection of Russian immigrants with their homeland.

Serbia is an industrially developed country, geographically and culturally close to Russia, in which all the prerequisites for a successful commercial activities. With the help of companies established in the country, it is possible to effectively structure a business, moreover, opening a company in Serbia is one of the simplest and easiest, compared to the rest, ways to obtain a residence permit (boravak). The state maintains a visa-free regime with both Russia and the EU, it has created conditions for attracting external capital and business development.

Company types

In the country, you can engage in individual entrepreneurship, but in this case you will have to bear full responsibility.

Opening a company in Serbia is possible in several forms:

  • JSC or AD - a company with a minimum capital of three million dinars, expressed in cash, property or rights (the par value of a share must be at least 100 dinars);
  • DOO - a company in which liability is limited, the most popular form of doing business, since the minimum capital threshold is only 100 dinars (about 1 euro), and it is permissible to deposit it in cash and in kind;
  • partnership and limited companies - they are almost never used by external investors.

DOO is the most convenient form, since registration of a company takes a minimum of time, liability is limited to the amount of the deposit. Half of the capital must be paid upon opening, and the remaining part - within two years after the establishment of the company. Foreign citizens can start a business and legal entities, and it is allowed to act by proxy. It cannot be said that Serbia is offshore, but you can work here efficiently and profitably.

Company opening process

Registration of a company in Serbia is carried out by a special Agency, which enters the created unit in the Register of Economic Entities. The founders of the company will need copies of passports (if they are private applicants) or an extract / certificate of registration when establishing a business on behalf of a legal entity. You also need to issue a power of attorney for a person who will be given the right to sign documents and perform registration procedures. All documents submitted to the Agency must be translated into Serbian (you will need an authorized employee of the court or an assurance office), notarized and apostilled if the main jurisdiction of the applicants is not in the countries of the Hague Convention.

To register a company in Serbia, you need:

  • to reserve a name in the APR - this is optional, but convenient;
  • open a transit bank account to deposit the required share of the authorized capital;
  • submit an application to the agency and attach documents - confirmation of the identities of the founders, the charter or memorandum of association, a certificate from the bank on depositing funds, a decision on the appointment of the directorate, representatives, supervisory and executive board (if the company is bicameral) and so on;
  • pay a registration fee - it depends on the amount of capital;
  • after completing the registration procedures - apply for social insurance for employees.

The application is filled in two copies. It must contain the full name of the organization (in the case of individual entrepreneurship, the name of the applicant), address, legal form. If the company is limited (in Georgia, you can create the same companies as, for example, in Russia), then you will need to indicate the size of the contribution of each owner. All documents are provided in tax authority, which is obliged to send a notification to the applicant after the end of registration.

All documents are certified by the state court. After the certificate is issued, the founders can order a seal and open a permanent account at a local bank. Companies are required to maintain records and submit regular reports, so you should take care of accounting support. Non-residents who receive income in the country pay taxes to the treasury of Serbia.

Prifinance experts will help you meet all the requirements, open a company in Serbia and establish business in accordance with the legislation of the jurisdiction.

When understood, what case standing, then sent their efforts on the Search and conclusion contracts with suppliers from a Russian city brides- Ivanovo. Till organized shipment, delivery, customs registration, were engaged search suitable premises for shop.
There are a lot of commercial premises in Belgrade, but not all of them met our requirements in terms of area, shop windows, traffic, area and parking availability. Who seeks always finds. We also found. A wonderful room in which they organized not only a store, but also the office of our future (at that time) travel company.

Finding the right staff is not easy. The thing is that Serbs are very stable people. And they are ready to work for not very big money, but in state-owned firms, rather than for more money. wages from a private business, and even which is just opening. We did it too! Thanks to our Serbian friends who recommended us. This is a very important aspect of doing business in Serbia - recommendations.
A very important aspect of any business in Serbia is the accounting service. Rarely, if not never, have I heard of anyone on staff having their own accountant. Basically, everyone concludes contracts for accounting services with specialized firms. It will cost you about 250 euros per month. Your firm will be assigned a specialist with whom you will communicate on all issues. There are also advantages to concluding such an agreement: the probability of an error is reduced, since not only the accountant who is assigned to your company checks everything, but also his boss. In other words, all payments, payment of taxes, submission of reports undergo a series of checks. Another plus is that not just a private person (accountant), but a company is responsible for everything.
All showcases, whether it's a shoe store, things, baby carriages, books or a travel agency, a pharmacy, are decorated to the highest standard. Serbs are creative and creative people. Our Russian partners helped us create the Aura Again logo from Russia with love. Everything from Russia is in great demand. Serbs love Russia boundlessly, considering it a great power, with rivers - oceans, mountains - above the sky and with boundless expanses, always covered with snow!
Therefore, my advice to you, if you will, add Russia to your business. This will help reduce the cost of advertising and promotions, as well as reduce the time to attract customers. Use your homeland for the benefit of yourself and your business.
After 1.5 months of work, searching, creating a logo, ordering the necessary furniture and decorating the store, we are open!
From my own experience, I can say that customers who have become regulars in such a short time come after the next purchase to say “Praise to you” (Thank you!) and drink a cup of coffee. It is very nice!

The best advertising in Serbia is word of mouth! And we tuned in to one of the many waves.
